general and special conditions of sale

ORDERS

All our orders are only valid after written confirmation (fax, order form).
Any order implies the acceptance without reserve of our general and particular conditions of sale, notwithstanding any contrary stipulations appearing on the order form of the purchaser.
The supply includes exactly and only the material specified on our acknowledgement of receipt or delivery note confirming the order. Any additional supplies or modifications will be charged extra. In no case, the conditions for additional supplies, can question or substitute those of the main order.

Price

Our prices are for a period of 3 months.

DELIVERY TIME

These are only indicative and never imply a formal commitment on our part.
Delays in delivery do not give the buyer the right to cancel the sale or to refuse the goods. They may not give rise to any deduction, compensation, penalty or damages.

PAYMENT

In general and unless otherwise agreed, 50 % at the order – 50 % ex workshop.
The method of payment is either by bank certified cheque or bank endorsed draft or SWIFT transfer.

PAYMENT DELAYS

For any payment not made on the agreed due date, the buyer will be automatically liable for a penalty calculated by applying 1.5 times the legal interest rate to the amounts due.

TRANSPORTATION AND COMPLIANCE

In all cases, our goods travel at the customer’s risk, and it is the customer’s responsibility to check the condition of the goods upon arrival, and to make any necessary reservations with the carrier at the time of delivery. If you notice any damage or missing items, you must make precise and complete reservations on the transport document and reiterate your justified protest in the forms and time limits provided for in art. 105 of the Commercial Code.
The customer must check the goods on delivery, this check must include the quality, quantities and references of the goods and their conformity with the order.

No complaint will be taken into account after the fifteen days deadline as from the day of the delivery.
Goods with a recognized lack of conformity reported within the above-mentioned period will be replaced or repaired, to the exclusion of any compensation, whatever the reason.

START-UP, MAINTENANCE, TROUBLESHOOTING…

Start-up and maintenance work and their associated costs are invoiced in addition to the sale price of the equipment.

GUARANTEE

Our goods are guaranteed against any construction defect for 1 year for mechanical parts and 6 months for electrical and electronic material. The warranty is strictly limited to the repair or replacement of defective products, to the exclusion of any other compensation, whatever the reason. Transportation, assembly, accommodation and travel costs are at the customer’s expense.
The warranty does not cover the appliance if it is not connected in compliance with the regulations in force, both electrically, as the gas connection and the installation of the chimney and will be carried out by a duly authorized professional.

PROPERTY RESERVATION

In accordance with the law of May 12, 1980 derogating from the common law, the transfer of property will become effective only after reception by our Company of the totality of the payments due in principal and accessories.
Non-payment of installments may result in the manufacturer reclaiming the goods.
In particular, the seller reserves the right to claim as provided for in articles 121 and 122 of the law of 25/01/1985.
These provisions do not prevent the transfer to the buyer, upon delivery, of the risks of loss and deterioration of the goods sold as well as the damage they may cause.

ATTRIBUTION OF JURISDICTION

In case of dispute, the Commercial Court of Annecy is the only competent court, even in case of appeal or plurality of defendants.

Special conditions of sale

Warranty: 2 years on mechanical parts
6 months for electrical and electronic parts

Delivery time: approx. 8 weeks from the date of written order confirmation

The order is effective upon receipt of your written acceptance of the general and special conditions of sale and your order form, and upon payment by certified bank check or bank draft of a deposit equal to 50% of the total amount and receipt of your R.I.B.
